By downloading the Qwest Direct Awards Logo, I agree to each of the following terms and conditions on behalf of My Organization: |

| 1. |
I am authorized to make the following commitments on behalf of an organization that is a member of the Qwest Direct Awards Program ("My Organization").
|
| 2. |
Qwest is giving My Organization a limited right to use the Qwest Direct Awards Logo as expressly set forth in this agreement. Qwest is not giving permission to any other person or entity, and Qwest is not giving permission to use any other logos, trade names or trademarks.

| 3. |
My Organization will use the Qwest Direct Awards Logo only to promote the Qwest Direct Awards Program and only in connection with the pre-authorized marketing materials made available by Qwest on the "Promotional Materials" section of QwestDirectAwards.com (for example the "customized text e-mail" or the "ready made announcements"). All use of the Qwest Direct Awards Logo by My Organization will be closely associated with the pre-approved text provided by Qwest. My Organization will not change or edit the prepared text in any way unless it obtains written permission from Qwest to do so.

| 4. |
The Qwest Direct Awards Logo and all goodwill associated with it are, and will remain, the sole property of Qwest.

| 5. |
Qwest has no responsibility for, and My Organization will reimburse Qwest for, any claims, demands, losses, costs, liabilities, damages, or expenses (including reasonable attorneys’ fees) that are caused by My Organization’s use of the Qwest Direct Awards Logo.

| 6. |
This permission lasts only for so long as My Organization is a Qwest Direct Awards participant, and My Organization agrees to stop all use of the Qwest Direct Awards Logo upon expiration of or its termination from the Qwest Direct Awards program.
